These Terms of Service ("Terms") govern your use of systemsandseo.com (the "Site"), including any free tools such as our Site Scanner / Found Score, operated by Systems and SEO LLC ("Systems & SEO," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Use of the Site
You may use the Site for lawful purposes only and in compliance with these Terms. You agree not to:
- Use the Site in any way that violates applicable law or regulation
- Attempt to gain unauthorized access to any part of the Site or its underlying systems
- Interfere with or disrupt the Site or its servers

The Site may offer a free URL analysis tool (the "Scanner"). By using the Scanner, you represent that you own the submitted website or have authority to request an evaluation of it.
You agree not to:
- Submit private, internal, or non-public network addresses
- Use the Scanner to attack, overload, or probe third-party systems
- Attempt to bypass rate limits or security controls
- Rely on Scanner output as legal, compliance, or ranking advice
Scanner results are informational only. They do not constitute:
- A guarantee of Google rankings, traffic, or AI citations
- A legal determination of ADA compliance, WCAG conformance, or any accessibility certification
- A substitute for a professional audit or signed service engagement

3. Services and Engagements
The Site provides information about services offered by Systems and SEO LLC. Nothing on the Site constitutes a binding offer or service agreement.
Specific terms of service engagements — including scope, deliverables, timelines, payment terms, refunds, and termination — are governed by the individual service agreement signed between Systems and SEO LLC and each client. In the event of any conflict between these Terms and a signed service agreement, the signed service agreement controls.
4. Intellectual Property
The Site and its content — including text, graphics, logos, images, code, and design — are owned by Systems and SEO LLC or its licensors and are protected by U.S. and international intellectual property laws.
You may not copy, modify, distribute, sell, or create derivative works from any portion of the Site without our prior written permission, except for personal, non-commercial use that is consistent with these Terms.
The "Systems & SEO" name, the wordmark, and the "Built to be Found" tagline are trademarks of Systems and SEO LLC.
5. User Submissions
If you submit information through the Site (for example, a contact inquiry or a Scanner URL), you represent that the information is accurate and that you have the right to share it. You grant us a non-exclusive, worldwide, royalty-free license to use that information for the purposes described in our Privacy Policy and to respond to your inquiry or generate Scanner results.
6. Disclaimers
THE SITE, THE SCANNER, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Site or Scanner will be uninterrupted, error-free, or secure, or that information on the Site or in Scanner reports is accurate, complete, or current. SEO results, search rankings, AI search citations, accessibility outcomes, and traffic depend on many factors outside our control, and we make no guarantees about specific outcomes.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYSTEMS AND SEO LLC, ITS OWNERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM YOUR USE OF THE SITE OR THE SCANNER.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE OR THE SCANNER SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS, WHICHEVER IS GREATER.
8. Indemnification
You agree to indemnify and hold Systems and SEO LLC and its affiliates harmless from any claims, losses, or damages arising from your use of the Site or Scanner, or violation of these Terms — including scanning a website without authorization.
9. Third-Party Links
The Site may link to third-party websites. We are not responsible for the content, privacy practices, or accuracy of those sites.
10. Termination
We may suspend or terminate your access to the Site or Scanner at any time, with or without notice, for any reason — including violation of these Terms or abuse of rate limits.
11. Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any disputes arising from these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in New York.
12. Changes to These Terms
We may update these Terms from time to time. The "Effective Date" at the top reflects the latest version. Continued use of the Site after changes constitutes acceptance of the updated Terms.
